SCOPE OF INSPECTION. “Gaudet Inspections, LLC (“Gaudet”) will perform a limited, non-invasive, visual inspection of the subject premises in accordance with the Standards of Practice of the American Society of Home Inspectors (“ASHI”), a copy of which may be found at www.ashi.org. 2. LIMITATIONS & CONDITIONS. The Inspection DOES NOT include: (a) the identification of hazardous materials, conditions behind walls, floors or ceilings, soil or groundwater contamination, geological matters, design issues; (b) a search of public records or an evaluation of code compliance; (c) the identification of fungus, mold, air quality problems, or the use of herbicides or pesticides on the Property; and (d) an evaluation of low voltage wiring. Gaudet cannot determine during the Inspection whether the roof is watertight; the rating of the roof is on the condition of visible roofing materials only. Some adverse conditions may exist for which there are no visible signs or indications; these are known as “latent conditions” and as such cannot be discovered by the Inspection. The Inspection shall be performed with consideration given to the age of the structure. Items marked “good” must in all cases be considered good for the age of the particular item. Also, items in less than good condition will be marked as such, even though the condition may be normal for the age. The inspector will not remove personal items; disturb finished surfaces, insulation, soil, snow, ice or debris which obstructs visibility of inspected areas or components. The Inspector will not enter areas that are dangerous or inaccessible and will not perform any procedure that may damage the Property or its elements. 3. LIMITATION OF LIABILITY. It is understood and agreed that should Gaudet and/or its agents or employees be found liable for any loss or damages resulting from a failure to perform any of its obligations, including but not limited to negligence, breach of contract or otherwise, the liability of Gaudet and/or its agents or employees shall be limited to a sum equal to the amount of the fee paid by the client for this inspection and report. 4. “Dispute Resolution; Binding Arbitration: Any dispute, controversy, interpretation or claim including claims for, but not limited to, breach of contract, any form of negligence, fraud or misrepresentation arising out of, from or related to this contract or arising out of, from or related to the inspection and inspection report shall be submitted for final and binding arbitration under the Rules and procedures of the American Arbitration Association. CLIENT agrees to pay all required filing fees. The decision of the Arbitrator appointed thereunder shall be final and binding and judgment on the Award may be entered in any court of competent jurisdiction.” 5. “Attorney’s Fees Clause: In the event of litigation relating to the subject matter of this Agreement, the non-prevailing party shall reimburse the prevailing party for all reasonable attorney fees and costs resulting therefrom.” 6. “No Rule of Construction: The parties acknowledge that each of them has had ample opportunity for their own counsel to participate in negotiating and drafting this Agreement. Therefore, no rule of construction shall apply to this Agreement that construes ambiguous or unclear language in favor of or against any party.” 7. “Notice and Waiver Clause: Any claim arising out of or related to any act or omission of the Gaudet in connection with the inspection of the property shall be made in writing and reported to the Inspector within fourteen (14) days of discovery and to allow Inspector a reasonable opportunity to reinspect the issue giving rise to the claim before undertaking any repairs. Client agrees that a failure to comply with the terms of this paragraph shall constitute a waiver of such claim.” 8. “Waiver of Statute of Limitations: Any dispute, controversy, interpretation or claim including claims for, but not limited to, breach of contract, any form of negligence, fraud or misrepresentation arising out of, from or related to this contract or arising out of, from or related to the inspection and inspection report shall be commenced within one year of the date of the inspection, without regard to the date the breach is discovered. Any action not brought within that one year time period shall be barred, without regard to any other limitations period set forth by law or statute.” 9. “Severability Clause: If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.” Initial as applicable: ____ The Client has received a copy of the Standards of Practice ____ The Client directs Gaudet to provide a copy of the Inspection Report to Client’s real estate agent.
